[mv] Timed Out?

Hello
Running Interchange 4.5.5 on FreeBSD Apache
All is well, until I upload the 4.5 MB products.txt file, (this system works
file running MV 4.04a on Linux), FTP upload of the products file is fine, I
the catalog looks great. But in Interchange Admin, when going to "Items" on
the menu I get a 500 error,

If I go to "Import Table" from Quick Links and try to import the
products.txt file replacement I get an error;
We are sorry, but the cgi-bin server is unavailable due to a
system error.
read: Connection reset by peer (54)
Also, took the userdb, transactions and orderline from a current store and
uploaded. It does not show the users nor any orders/transactions? Is
Interchange compatible with MV current DB's or do I have to "Merge" them and
place somewhere?
Interchange GUI is great, can not wait till it is ready for it's Premier :)
